1.
It is agreed that all Cardmembers' privileges and rights to enjoy the
promotions, discounts and special offers from time to time offered by the
outlets which participate in the Suntec Privilege Card program (herein referred
to as "Participating Merchants"), such promotions, discounts and special offers
(hereinafter collectively referred to as "Offers" and individually as "Offer")
are governed by the terms and conditions hereunder, and such other terms and
conditions laid down by the Participating Merchants in the Suntec Privilege
Card Program. Failure to comply with such terms and conditions shall result in
the refusal of such Offers by the Participating Merchants, and/or the
cancellation of the Card by HSBC Institutional Trust Services (Singapore)
Limited (as trustee of Suntec Real Estate Investment Trust).

2.
The Card is a privilege card, and not a credit or charge card. The Card is
issued for use solely by the Cardmember, and shall not be transferable under
any circumstances. It shall only be used in respect of Offers by the
Participating Merchants and in accordance with the terms and conditions herein.
HSBC Institutional Trust Services (Singapore) Limited (as trustee of Suntec
Real Estate Investment Trust) shall not be under any obligation to replace any
Cards which have been misplaced, lost, damaged or stolen.

3.
The Cardmember shall abide by the following in using the Card:

The Cardmember shall present the Card BEFORE or upon making any purchase from a
Participating Merchant.

The Offers may not be used for orders in conjunction with any other promotions,
discounts, happy or promotional hour special offers offered by the
Participating Merchant, unless otherwise stated.

Each Participating Merchant has the absolute discretion to reject the Card, if
it has reasonable grounds to suspect, or there has been any report that the
Card has been tampered with, whether intentional or not.

4.
The list of Participating Merchants and the Offers may be revised from time to
time, without prior notice, under the sole discretion of HSBC Institutional
Trust Services (Singapore) Limited (as trustee of Suntec Real Estate Investment
Trust) or ARA Trust Management (Suntec) Limited, the manager of Suntec Real
Estate Investment Trust.

5.
By accepting the Card, the Cardmember irrevocably acknowledges and agrees
that:-

Although HSBC Institutional Trust Services (Singapore) Limited (as trustee of
Suntec Real Estate Investment Trust) will endeavour to ensure that Offers shall
be made available by the Participating Merchants, HSBC Institutional Trust
Services (Singapore) Limited (as trustee of Suntec Real Estate Investment
Trust) shall not be liable in any way and no Cardmember shall have any claims
whatsoever against HSBC Institutional Trust Services (Singapore) Limited (as
trustee of Suntec Real Estate Investment Trust) if the Card is not accepted or
honoured by a Participating Merchant under the Suntec Privilege Card Program.

HSBC Institutional Trust Services (Singapore) Limited (as trustee of Suntec
Real Estate Investment Trust) shall not be liable for any loss, physical
injury, illness, costs or damages resulting from or during any visit to or
purchases made from any Participating Merchant.

HSBC Institutional Trust Services (Singapore) Limited (as trustee of Suntec
Real Estate Investment Trust) shall not be liable to any Cardmember in respect
of any issues concerning the issuance of the Card and the operation and
maintenance of the Suntec Privilege Card

HSBC Institutional Trust Services (Singapore) Limited (as trustee of Suntec
Real Estate Investment Trust) may, at its absolute discretion, disclose to any
third parties details of any information in its possession or control relating
to the Cardmember.

HSBC Institutional Trust Services (Singapore) Limited (as trustee of Suntec
Real Estate Investment Trust) shall not be liable for any defect or deficiency
in the goods purchased or services rendered by a Participating Merchant. Any
claim by a Cardmember against, or dispute between a Cardmember with any
Participating Merchant or any other party shall be settled between the
Cardmember and such parties, without any reference to HSBC Institutional Trust
Services (Singapore) Limited (as trustee of Suntec Real Estate Investment
Trust). HSBC Institutional Trust Services (Singapore) Limited (as trustee of
Suntec Real Estate Investment Trust) shall not be affected by nor be obliged in
any way to be involved in any of such dispute. No claim by any Cardmember
against any Participating Merchants or third party shall be subject of a
claim/defense or counterclaim against HSBC Institutional Trust Services
(Singapore) Limited (as trustee of Suntec Real Estate Investment Trust).

HSBC Institutional Trust Services (Singapore) Limited (as trustee of Suntec
Real Estate Investment Trust) shall not be liable for any loss (whether direct,
indirect, incidental, special, punitive or consequential), or damages suffered
by reason of the Cardmember's use or inability to use the Card or any
disclosure (inadvertent or otherwise) of any information concerning Cardmember
or for any error, omission or inaccuracy with respect to any information so
disclosed.

6.
HSBC Institutional Trust Services (Singapore) Limited (as trustee of Suntec
Real Estate Investment Trust) shall have the right to amend, modify or
supplement the terms and conditions herein, including those relating to the
withdrawal or addition of Offers, as it deems fit from time to time, without
any prior notice to the Cardmember.

7.
The Cardmember shall immediately notify Suntec City Development Pte Ltd in
writing if the Card is lost/damaged/stolen. Replacement of lost/stolen/damaged
Card is subjected to approval of Suntec City Development Pte Ltd and a fee of
$10 will be levied upon any replacements.

8.
The Cardmember shall notify Suntec City Development Pte Ltd in writing of any
change of personal particulars at the first reasonable opportunity after such
change.

9.
Membership is valid for 3 years from date issued. Any renewal of the Card is
done at the absolute discretion of Suntec City Development Pte Ltd.

10.
Suntec City Development Pte Ltd may at any time and in its absolute discretion
terminate this Agreement and/or cancel and/or terminate the Cardmember's use of
the Card without any reference to the Cardmember, and without assigning any
reason for the same. The Card remains the property of Suntec City Development
and must be returned to the Company upon request. There will be no refund of
the joining fee paid by the Cardmember to Suntec City Development Pte Ltd, if
the Card is cancelled or the right to use the Card is terminated.

11.
Any Card membership that has no transaction recorded after 24 months from date
joined or last date of activity will be automatically closed/terminated.

12.
Notwithstanding any term or condition herein or laid down by Participating
Merchants to the contrary, the Cardmember acknowledges that HSBC Institutional
Trust Services (Singapore) Limited ("HTSG") is offering this Suntec Privilege
Card program in its capacity as trustee of Suntec Real Estate Investment Trust
(the "Fund") and not in HTSG's personal capacity. As such, notwithstanding any
term or condition herein or laid down by Participating Merchants, HTSG has
assumed all obligations under this Suntec Privilege Card program in its
capacity as trustee of the Fund and not in its personal capacity and any
reference herein to "HTSG" or "HSBC Institutional Trust Services (Singapore)
Limited" will relate only to HTSG acting in such capacity. Any liability of
HTSG arising out of or in connection with this Suntec Privilege Card program
will be limited to the assets of the Fund over which HTSG has recourse and will
not extend to any personal assets of HTSG or any assets of HTSG in its capacity
as trustee of any other trust (other than the Fund).
